Any pricing, square footage, or cost estimates displayed on the Site do not constitute a binding legal offer or a guaranteed service rate. Actual rates are subject to a formal Master Services Agreement (MSA) and physical inspection of goods.

1.3. Limitation of Reliance

Simple Distribution is not liable for any business decisions (including leasing real estate, purchasing equipment, or hiring staff) made based on data generated by our website tools. You should consult with a qualified logistics professional before making significant operational investments.

2. INTELLECTUAL PROPERTY AND RESTRICTIONS

The Site and its original content, features, and functionality are owned by Simple Distribution and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.1. Proprietary Tools

The underlying code, algorithms, logic, and 3D visualization engines used in our Warehouse Space Calculator are the exclusive property of Simple Distribution.

2.2. Prohibition on Reverse Engineering

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Site or any calculator tools.
• Use the Site to build a competitive product or service.
• Copy any features, functions, or graphics of the Site for commercial use.
• Use any automated system (robots, spiders, scrapers) to access the Site for any purpose without our express written permission.

We reserve the right to withdraw or amend our Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period.

SIMPLE DISTRIBUTION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE CALCULATOR RESULTS WILL BE ERROR-FREE OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Neither Simple Distribution nor any person associated with Simple Distribution makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Site. Without limiting the foregoing, neither Simple Distribution nor anyone associated with Simple Distribution represents or warrants that the Site, its content, or any services or items obtained through the Site will be accurate, reliable, error-free, or uninterrupted.

8. LIMITATION OF LIABILITY

10. GOVERNING LAW AND JURISDICTION

These Terms shall be governed and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Shelby County or Fayette County, Tennessee, and you hereby irrevocably consent to personal jurisdiction and venue in such courts.

11. DISPUTE RESOLUTION

11.1. Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms, you and Simple Distribution agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration or litigation.

11.2. Waiver of Class Actions

You and Simple Distribution agree that any dispute arising out of or related to these Terms is personal to you and Simple Distribution and that any such dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action, or any other type of representative proceeding.

12. ELECTRONIC COMMUNICATIONS

By using the Site, you consent to receiving electronic communications from Simple Distribution. These electronic communications may include notices about applicable fees and charges, transactional information, and other information concerning or related to the Site. These electronic communications are part of your relationship with Simple Distribution, and you agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

13. TERMINATION

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. In either case, the remaining provisions of these Terms shall continue in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simple Distribution regarding the use of the Site and supersede all prior and contemporaneous written or oral agreements between you and Simple Distribution.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
